Health Warnings: Always play in a well-lit environment. Take regular breaks of approximately fifteen minutes for every hour of play. Stop playing immediately if you experience dizziness, nausea, fatigue, or headache. Individuals sensitive to flashing lights or specific shapes or geometric patterns may have an undiagnosed form of epilepsy and may experience epileptic seizures when viewing television or playing video games. If you are prone to epileptic attacks, consult your doctor before playing video games and contact them immediately if you experience one or more of the following symptoms during play: visual disturbances, muscle twitching, other involuntary movements, loss of consciousness, mental confusion, and/or convulsions.

3D Health Warnings: Some people may experience discomfort (such as eye strain or nausea) when viewing 3D video images or playing stereoscopic 3D games on 3D televisions. If you experience such discomfort, you should immediately stop using the television until the discomfort subsides. It is generally recommended to avoid prolonged use of the PS4™ system and take a 15-minute break for every hour of play. However, when playing stereoscopic 3D games or watching 3D videos, the duration and frequency of necessary breaks may vary from person to person. Please take breaks long enough for any feelings of discomfort to disappear. If symptoms persist, consult a doctor. Children's vision (especially those under six years old) is still developing. It is recommended to consult your child's doctor or ophthalmologist before allowing children to watch 3D video images or play stereoscopic 3D games. Adults should supervise children to ensure they follow the recommendations above.

Gameplay Controls

Chain Grapples: Initiate a chain grapple and try to gain control by choosing a submission (F, D, or A). Use the Right Stick during submission to find the critical point. The attacker can also attack (F) or squeeze (S) their opponent.

Grapple:

Front Facelock:

Reposition Opponent: Use the Right Stick to reposition downed or stunned opponents.

Downed Opponent:

Submissions: Rotate the Right Stick to move the indicator in the submission minigame. The defender (blue) must avoid the attacker's indicator (red). Grab the glowing sphere to push the opponent away or break free!

Pinnings: Press S when the indicator is in a target zone to escape. If you have the rope break ability and are near the ropes, press A at the right time for a manual rope break. Illegal Pins: If you have the illegal pin ability and your opponent is parallel to the ropes, hold A for an illegal pin!

Game Screen

1. Counter: Press R with the right timing to perform a counter.

2. Health Bar: Monitor damage taken from your opponent.

3. Stamina Bar: When empty, movement and recovery are slower, and sprinting ability is temporarily lost.

4. Momentum Bar: Fill with attacks and taunts. Reach 100% for a Special Move and 150% for a Finisher.

5. Special Move/Finisher: Press D when it appears to execute.

6. Counter Slots: Displays available counters. These regenerate over time.

The ultimate WWE creative experience. Organize matches, assign Superstars/Divas to shows and PPVs, create rivalries, and alliances. Characters have defined personalities influencing their choices. A new status effect system impacts match outcomes and story progression. Possibilities are endless.

MyCAREER Mode

Create or import a custom Superstar and rise through the NXT ranks under trainer Jason Albert. Fight like a champion, earn points and money to improve abilities, learn moves, and hire Managers. Transferring the license of the pre-registered copy may require certain activities specified in the Software documentation. Additional Features, including content otherwise unavailable without the unique serial code, are not transferable to anyone under any circumstances and may cease to function if the original installation copy of the Software is deleted or if the pre-registered copy of the game is no longer available to you. The Software may only be used for private purposes. NOTWITHSTANDING THE FOREGOING, YOU MAY NOT TRANSFER PRE-RELEASE COPIES OF THE SOFTWARE.

TECHNICAL PROTECTIONS

The Software may include measures to control access to the Software or certain features or content, prevent unauthorized copies, or otherwise attempt to prevent anyone from exceeding the limited rights and license granted in this Agreement. Such measures may include the incorporation of license management and product activation systems and other use-monitoring protection technologies, such as, for example, date, time, and access control systems or other variables, counters, serial numbers, and/or other protection devices designed to prevent unauthorized access, use, and copying of the Software or any part or component thereof, or any other violation of this Agreement. Licensor reserves the right to monitor the use of the Software at any time. You may not interfere with, or attempt to disable or circumvent, access control measures; if you do so, the Software may not function properly. If the Software allows access to Additional Features, only one copy of the Software at a time may access them. You may need to accept additional terms or complete further registration to access online services and download updates and patches for the Software. Only Software licensed under a valid license may be used to access online services, including downloading updates or patches. Except where prohibited by applicable law, Licensor may, at any time, without notice, and for any reason, limit, suspend, or revoke the license granted herein and access to the Software, including, without limitation, related services and products.

USER-CREATED CONTENT

The Software may allow you to create content, including (but not limited to) game maps, scenarios, photos, car designs, items, or videos of gameplay. In exchange for using the Software and to the extent that contributions made through the use of the Software may create any interest in intellectual property rights, you hereby grant to Licensor a worldwide, exclusive, perpetual, irrevocable, fully transferable, and sublicensable right and license to use such contributions in any manner and for any purpose in connection with the Software and related goods and services, including the rights to reproduce, copy, adapt, modify, display, perform, transmit, broadcast, or otherwise communicate to the public by any means now known or hereafter devised, without notice or compensation of any kind, for the entire duration of protection afforded to intellectual property rights by applicable laws and international conventions. INTERNET CONNECTION

The Software may require an Internet connection to access Internet-based features, for Software authentication, or to perform other functions.

USER ACCOUNT

For certain Software functionalities to operate correctly, you may need to have and maintain an active and valid account with an online service, such as a third-party game platform or social network ("Third-Party Account"), or an account with Licensor or its affiliate, as indicated in the Software documentation. Without such accounts, some Software functionalities may not operate or may cease to operate correctly, in whole or in part. To access the Software and its functionalities, the Software may also require you to create a specific user account for the Software with Licensor or its affiliate ("User Account"). Your User Account login details may be associated with your Third-Party Account login details. Responsibility for any use and security of your User Account and Third-Party Accounts used to access and use the Software rests with you.

VIRTUAL CURRENCY AND VIRTUAL GOODS

If the Software permits you to purchase and/or earn, through gameplay, a license to use Virtual Currency and Virtual Goods, the additional terms and conditions of this section shall apply.

VIRTUAL CURRENCY AND VIRTUAL GOODS: The Software may permit you to (i) use a fictitious virtual currency as a medium of exchange solely within the Software ("Virtual Currency" or "VC") and (ii) access (and have certain limited rights to use) virtual goods within the Software ("Virtual Goods" or "VG"). Regardless of the terminology used, VC and VG represent limited license rights, governed by this Agreement. Subject to the terms and conditions of this Agreement, Licensor hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable right and license to use the VC and VG obtained by you solely within the Software and for non-commercial purposes. Except where prohibited by applicable law, the VC and VG obtained by you are licensed to you, and you acknowledge that you have no other title or ownership interest in the VC and VG assigned or transferred to you. This Agreement shall not be interpreted as a sale of any rights to VC and VG.

VC and VG have no value in real currency and cannot be used in lieu of real currency. You acknowledge and agree that Licensor may, at any time, directly modify or take measures that indirectly affect the perceived value or purchase price of any VC and/or VG, except where prohibited by applicable law. Non-use of VC and VG shall not entitle you to any refund, provided that the license granted in relation thereto terminates in accordance with the terms and conditions of this Agreement and the Software documentation in the event Licensor ceases to supply the Software or this Agreement is otherwise terminated. At its sole discretion, Licensor reserves the right to modify the costs for the right to access or use VC or VG and/or to distribute them for free or for a fee.

EARNING AND PURCHASING VIRTUAL CURRENCY AND VIRTUAL GOODS: Within the Software, you may be able to purchase VC or obtain VG from Licensor as a result of completing certain activities or achieving certain objectives within the Software. For example, Licensor may provide you with VC or VG for completing a gameplay activity, such as reaching a certain level in the Software, completing a task, or creating original content. Earned VC and VG are credited to your User Account. You may purchase VC and VG only within the Software or through application platforms, online stores, or other third-party stores authorized by Licensor (collectively, the "App Store"). The purchase and use of in-game currency and goods through an App Store are subject to the App Store's rules, such as those set forth in its Terms of Service and License Agreement. This online service is sublicensed to you by the App Store. Licensor may offer discounts or promotions on the purchase of VC, and such discounts and promotions may be modified or discontinued by Licensor at any time without notice. Upon completion of an authorized purchase of VC from an App Store, the amount of VC purchased will be credited to your User Account. Licensor will set a maximum limit on VC that may be purchased per transaction and/or per day, which may vary depending on the associated Software. At its sole discretion, Licensor may impose additional limits on the amount of VC that may be purchased or used, the ways in which VC may be used, and the maximum active balance of VC that may be credited to a User Account. Responsibility for any purchases of VC made through your User Account rests solely with the respective user, whether or not they authorized them.

BALANCE CALCULATION: You can access and view the VC and VG credited to your User Account by logging into your User Account. Licensor reserves the right to make, at its sole discretion, all calculations regarding the VC and VG available in User Accounts. Licensor also reserves the right to determine, at its sole discretion, the amount and manner in which VC is credited and debited from User Accounts in connection with VG purchases or other events. While Licensor aims to make all calculations on consistent and reasonable bases, you acknowledge and agree that Licensor's calculations regarding the amount of VC and VG available in your User Account are final, unless you can provide Licensor with documentation demonstrating that such calculations were intentionally erroneous.

USE OF VIRTUAL CURRENCY AND VIRTUAL GOODS: Any Virtual Goods and/or Virtual Currency purchased in-game may be consumed or lost by players during gameplay according to the game rules applicable to Virtual Currency and Virtual Goods, which may vary depending on the associated Software. VC and VG may only be used within the Software, and Licensor may, at its sole discretion, limit the use of VC and VG to a single game. Authorized uses and purposes of VC and VG may vary at any time. The available VC and VG indicated in your User Account are debited each time you use VC or VG within the Software.

Your use of VC and VG constitutes a request and withdrawal from your User Account's pool of VC and VG. To complete a transaction within the Software, you must have sufficient VC and VG in your User Account. VC and/or VG in your User Account may be reduced without notice upon the occurrence of certain events related to your use of the Software. For example, you may lose VC or VG as a result of losing a match or your character dying. Responsibility for any use, authorized or unauthorized, of VC and VG through your User Account rests entirely with you. In the event you discover any unauthorized uses of VC and VG through your User Account, you must notify Licensor immediately by submitting a support request via www.take2games.com/support.

NON-REDEMPTION: VC and VG may only be redeemed for in-game items and services. You may not sell, rent, license, or lease VC and VG, nor convert them into convertible currency. VC and VG may not be used to claim any sums of money, monetary value, or other goods from Licensor or any other person or entity, except as otherwise stated herein or as otherwise required by applicable law. VC and VG have no monetary value, and neither Licensor nor any other person or entity shall have any obligation to provide items or services of value, such as real currency, in exchange for VC or VG.

NON-REFUNDABILITY: All purchases of VC and VG are final and in no event shall be refundable, transferable, or exchangeable. Except where prohibited by applicable law, Licensor has the absolute right to manage, regulate, control, modify, suspend, and/or eliminate VC and/or VG in any manner it deems appropriate in its sole discretion, without any liability to you or any other person.

NON-TRANSFERABILITY: Any transfer, trade, sale, or exchange of VC or VG, other than as expressly permitted by Licensor within the game and through the Software ("Unauthorized Transactions"), to anyone, including other users of the Software, is not authorized by Licensor and is strictly prohibited. Licensor reserves the right to terminate, suspend, or modify, in its sole discretion, the User Account, VC, and VG of any user who engages in, assists in, or solicits such Unauthorized Transactions. Users who engage in such activities do so at their own risk and agree to indemnify and hold Licensor, its affiliates, licensors, partners, contractors, officers, directors, employees, and agents harmless from any and all damages, losses, or expenses arising directly or indirectly from such actions. You agree that Licensor may require the relevant App Store to terminate, suspend, discontinue, refuse to process, or cancel any Unauthorized Transaction, regardless of when such transaction occurred (or is intended to occur), if Licensor suspects or has evidence of fraud, breach of this Agreement, violation of any other applicable law or regulation, or intentional acts designed to interfere with or that in any way interfere or may interfere with the normal operations of the Software. You further agree that if Licensor believes or has reason to believe that you are involved in an Unauthorized Transaction, it may, in its sole discretion, limit your access to the VC and VG in your User Account or close or suspend your User Account and any rights you may have relating to the VC, VG, and any other items associated with your User Account.

LOCATION: VC is available only to customers residing in certain locations. You may not purchase or use VC if you do not reside in approved locations.

APP STORE TERMS

This Agreement and the provision of the Software through any App Store (including the purchase of VC or VG) are subject to the additional terms and conditions imposed by the applicable App Store. Such additional terms and conditions are hereby incorporated into this document. Licensor is not responsible or liable to you for any credit card or banking charges or other costs or expenses incurred by you in connection with your transactions within the Software or through an App Store. Such transactions are administered by the App Store and not by Licensor. Licensor expressly disclaims any liability for such transactions, and you agree that any recourse for such transactions will be directed to or through the App Store.

This Agreement is solely between you and Licensor and does not concern the App Stores. You acknowledge that the App Store is not obligated in any way to provide maintenance or support services to you in relation to the Software. Notwithstanding the foregoing, and to the maximum extent permitted by applicable law, the App Store shall have no other warranty obligation whatsoever with respect to the Software. Any claims related to the Software, such as product liability, regulatory compliance, or infringement of intellectual property rights, are governed by this Agreement, and the App Store shall not be liable for any such claims. You must comply with the Terms of Service and any other policies or conditions set forth by the App Store. The license to use the Software is a non-transferable license to use the Software only on an authorized device that you own and control. You represent that you are not located in a country or geopolitical area subject to a U.S. embargo, nor are you listed on the U.S. Treasury Department's "Specially Designated Nationals" list or the U.S. Department of Commerce's "Denied Person" and "Denied Entity" lists. The App Store is a third-party beneficiary of this Agreement and may enforce its terms against you.

COLLECTION AND USE OF INFORMATION

By installing and using the Software, you agree to the terms of information acquisition and use set forth in this section and Licensor's Privacy Policy, including (where applicable) those relating to (i) the submission of personal and other data to Licensor, its affiliates, suppliers, and partners, and certain third parties, such as government authorities, in the U.S. and other countries outside of Europe or otherwise different from your country, including countries that may have less stringent privacy protection standards; (ii) the public display of data, such as the identification of user-created content or the display of scores, leaderboards, achievements, and other gameplay data on websites and other platforms; (iii) the sharing of your gameplay data with hardware manufacturers, platform operators, and Licensor's marketing partners; and (iv) other uses and disclosures of your personal data or other information specified in the aforementioned Privacy Policy in its most current version. If you do not agree to the sharing and use of your data in the ways mentioned above, then you must not use the Software.

With respect to privacy matters such as the collection, use, disclosure, and transfer of personal data and other data, the provisions of the Privacy Policy, available in its most updated version at www.take2games.com/privacy, shall prevail over those of this Agreement.

WARRANTY

LIMITED WARRANTY: Licensor warrants to you (if you are the initial, original purchaser of the Software, but not if you obtained the Software pre-registered and its accompanying documentation from the original purchaser), for ninety (90) days from the date of purchase, that the original storage medium for the Software is free from defects in materials or workmanship under normal use and service. Licensor warrants that this Software is compatible with a personal computer that meets the minimum system requirements listed in the Software documentation or that has been certified by the game unit manufacturer as compatible with the game unit for which it was published. However, due to variations in hardware, software, Internet connectivity, and individual usage, Licensor does not warrant the performance of this Software on your specific computer or game unit. Licensor does not warrant against interference with your enjoyment of the Software; that the Software will meet your needs; that the operation of the Software will be uninterrupted or error-free; that the Software will be compatible with third-party software or hardware; and that any errors in the Software will be corrected. No oral or written information or advice given by Licensor or any authorized representative shall create a warranty of any kind. Because some jurisdictions do not allow the exclusion or limitation of implied warranties or the limitation of consumer rights, some or all of the above exclusions or limitations may not apply.

If, for any reason, during the warranty period, you find defects in the storage medium or the Software, Licensor agrees to replace, free of charge, any Software found to be defective within the warranty period, provided that the Software is still being manufactured by Licensor at that time. If the Software is no longer available, Licensor reserves the right to replace it with a similar Software of equal or greater value. This warranty is limited to the storage medium and the Software as originally provided by Licensor, and is not applicable in case of normal wear and tear. This warranty shall not apply and shall be considered void if the defect occurs due to abuse, misuse, or negligence. Any statutory implied warranties are expressly limited to the ninety (90) day period mentioned above.

Notwithstanding the foregoing, this warranty is in lieu of all other warranties, oral and written, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and Licensor shall not be bound by any other statement or warranty of any kind.

When returning the Software subject to the aforementioned limited warranty, you are advised to ship only the original Software to Licensor's address specified below, and to include: your name and mailing address, a photocopy of your dated purchase receipt, and a brief note describing the defect and the system on which you are using the Software.

INDEMNIFICATION

You agree to defend and indemnify Licensor and its partners, licensors, affiliates, contractors, officers, directors, employees, and agents from and against any and all damages, losses, and expenses arising directly or indirectly from your actions and omissions in connection with your use of the Software in accordance with the terms of this Agreement.

IN NO EVENT SHALL LICENSOR BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE POSSESSION, USE, OR MALFUNCTION OF THE SOFTWARE, INCLUDING, WITHOUT LIMITATION, PROPERTY DAMAGE, LOSS OF GOODWILL, COMPUTER MALFUNCTIONS OR FAILURES, AND, TO THE EXTENT PERMITTED BY LAW, DAMAGES FOR PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LICENSOR'S LIABILITY FOR ANY DAMAGES EXCEED (EXCEPT WHERE OTHERWISE PROVIDED BY APPLICABLE LAW) THE PRICE ACTUALLY PAID FOR YOUR USE OF THE SOFTWARE.

IN NO EVENT SHALL LICENSOR'S AGGREGATE LIABILITY FOR ANY CLAIM MADE BY YOU (REGARDLESS OF THE FORM OR TYPE OF ACTION) EVER EXCEED THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU TO LICENSOR IN THE PRECEDING TWELVE (12) MONTHS FOR ANY REASON RELATED TO THE SOFTWARE, AND IN ANY CASE SHALL NOT EXCEED $200.

BECAUSE SOME STATES/COUNTRIES DO NOT ALLOW THE LIMITATION OF THE DURATION OF IMPLIED WARRANTIES AND/OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR FOR DEATH OR PERSONAL INJURY DUE TO NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT, THE FOREGOING LIMITATIONS AND/OR EXCLUSIONS OR LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU. THIS WARRANTY SHALL NOT APPLY TO THE EXTENT PROHIBITED BY ANY APPLICABLE FEDERAL, STATE, OR LOCAL LAW. THIS WARRANTY GRANTS YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE OR COUNTRY TO COUNTRY.

WE DO NOT CONTROL, NOR CAN WE CONTROL, THE FLOW OF DATA TO AND FROM OUR NETWORK OR OTHER PORTIONS OF THE INTERNET, WIRELESS NETWORKS, OR OTHER THIRD-PARTY NETWORKS. SUCH FLOW DEPENDS IN LARGE PART ON THE PERFORMANCE OF THE INTERNET AND WIRELESS SERVICES PROVIDED OR CONTROLLED BY THIRD PARTIES. AT TIMES, THE ACTIONS OR INACTIONS OF SUCH THIRD PARTIES MAY INTERFERE WITH OR PREVENT YOUR CONNECTION TO THE INTERNET AND WIRELESS SERVICES, IN WHOLE OR IN PART. WE CANNOT GUARANTEE THAT SUCH EVENTS WILL NOT OCCUR. ACCORDINGLY, WE DISCLAIM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO THE ACTIONS OR INACTIONS OF THIRD PARTIES THAT MAY INTERFERE WITH OR PREVENT YOUR CONNECTION TO THE INTERNET AND WIRELESS SERVICES (IN WHOLE OR IN PART) OR YOUR USE OF THE SOFTWARE AND RELATED SERVICES AND PRODUCTS.

TERMINATION

This Agreement is effective until terminated by you or Licensor. This Agreement will automatically terminate if Licensor ceases to operate the Software servers (for games that function exclusively online), if Licensor determines or believes that your use of the Software is or may be associated with fraud, money laundering, or any other illegal activity, or if you fail to comply with the terms and conditions of this Agreement, including, without limitation, the License Conditions above. You may terminate this Agreement at any time by (i) requesting Licensor, as specified in the Terms of Service, to close and delete the User Account used to access or use the Software, or (ii) destroying and/or deleting all copies of the Software in your possession, custody, and control. Removal of the Software from your Game Platform does not result in the deletion of data associated with your User Account, including any associated VC and VG. Reinstalling the Software using the same User Account will restore access to the same data, including any associated VC and VG. However, except where prohibited by applicable law, if your User Account is deleted as a result of the termination of this Agreement for any reason, all associated VC and VG will also be deleted and may no longer be used within the Software. If this Agreement is terminated due to your breach of this Agreement, Licensor may prohibit your re-registration and re-access to the Software. Upon termination of this Agreement, you must destroy or return the physical copy of the Software to Licensor, as well as permanently destroy all copies of the Software and accompanying materials and documentation and its components in your possession or control (e.g., those on client servers or on computers, game units, and mobile devices on which it was installed). Upon termination of this Agreement, you will immediately lose the right to use the Software, including any VC and VG associated with your User Account, and you must cease all use of the Software. Termination of this Agreement shall not affect our rights or your obligations hereunder.

U.S. GOVERNMENT LIMITED RIGHTS

The Software and documentation have been developed entirely at private expense and are provided as "commercial computer software" or "restricted computer software." Use, duplication, or disclosure by the U.S. Government or a U.S. Government subcontractor is subject to the restrictions set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause of DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights clause of FAR 52.227-19, as applicable.

EQUITABLE REMEDIES

You hereby acknowledge that if the terms of this Agreement are not specifically enforced, Licensor will suffer irreparable damage, and therefore you agree that Licensor shall be entitled, without bond, guarantee, or proof of damages, to seek appropriate equitable remedies in accordance with this Agreement, including injunctive relief, whether preliminary or permanent, in addition to any other remedies available.

TAXES AND FEES

You are responsible for and shall pay, indemnify, and hold Licensor and any of its affiliates, officers, directors, and employees harmless from any and all taxes, duties, and imposts imposed by any governmental entity on the transactions contemplated by this Agreement, including interest and penalties (excluding taxes on Licensor's income), whether or not included on Licensor's invoices to you. If you are entitled to an exemption, you shall provide Licensor with a copy of all relevant exemption documents. Furthermore, any and all expenses and costs incurred by you in connection with the foregoing activities shall be your sole responsibility. You are not entitled to any reimbursement from Licensor for any expenses, and shall, in fact, indemnify Licensor against them.

TERMS OF SERVICE

All access to and use of the Software is subject to this Agreement, the Software documentation, Licensor's Terms of Service, and Licensor's Privacy Policy, and all terms and conditions of the Terms of Service are hereby incorporated into this Agreement. The entirety of these agreements constitutes the complete agreement between you and Licensor with respect to the use of the Software and related products and services, and supersedes and replaces any prior agreements, written or oral, between the parties. In the event of a conflict between this Agreement and the Terms of Service, this Agreement shall prevail.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall continue in full force and effect.

GOVERNING LAW

This Agreement shall be interpreted (without regard to conflicts or private international law principles) in accordance with the laws of the State of New York, as applicable to agreements made and to be performed in the State of New York between residents thereof, except as preempted by U.S. federal law. If there has been no express written waiver by Licensor for the particular instance or if it is contrary to local laws, the sole and exclusive jurisdiction and venue for any dispute and litigation shall be the state and federal courts located in Licensor's principal place of business (New York County, New York, USA). You and Licensor agree to the jurisdiction of such courts and agree that any process or notice of motion or other application to the court shall be served by personal service or by certified mail or by any other means permitted by the laws of the State of New York or federal law. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) shall not apply to this Agreement or to any dispute or transaction arising from it.
