Monster Conditions of Sale

These Conditions of Sale govern every sale of products by the Monster entity identified in the Price Book, on the invoice attached, or on the reverse (“Monster”). Monster rejects any additional or conflicting terms or conditions unless expressly agreed in writing. By ordering, accepting, or retaining products, the Purchaser agrees to be legally bound by these Conditions.

IF YOU DO NOT AGREE, NOTIFY MONSTER IMMEDIATELY AND DO NOT GO FORWARD WITH THE TRANSACTION.

Price and Product Changes

Prices and products are subject to change at any time unless Monster accepts an order specifying certain prices and products.

Orders

Orders must be for $100 or more, in master carton quantities only. Orders must state the entire alphanumeric model name, inventory number, and UPC number. Products from Monster Cable Products, Inc. and Monster, LLC must be ordered on separate purchase orders. Monster reserves the right to reject any orders. Orders are not accepted until Monster sends a written order acceptance or actually delivers the ordered products.

Payment Terms

Invoices are due and payable within the period specified on the face of the invoice. Purchaser shall identify the invoice number(s) to which its payments shall be applied.

Early/Late Payment

Amounts not paid within 30 days of receipt of Monster's invoice are subject to late charges at the lesser rate of 1.5% per month or the maximum amount permitted by law. Purchaser shall also pay all costs of collection, including reasonable attorney fees and costs. Taxes, customs, and other charges are not included in prices and must be paid or reimbursed separately.

Delivery

Delivery will be made F.O.B. Monster's dock for shipments within the U.S., and F.C.A. (ICC Incoterms 2000) Monster's dock for shipments abroad.

Shipping

Monster will pay for ground shipping within the United States on orders over $1,200 (net after all discounts), excluding MDesign products. For MDesign products, Monster pays ground shipping on orders over $20,000 (net after all discounts) or half of the shipping charges for orders between $10,000 and $19,999.99 (net after all discounts). All delivery dates are non-binding targets; Monster is not liable for delays.

Unilateral Sales Policy

Monster's policy is to sell to dealers whose resale prices follow Monster's suggested retail prices. Monster announces minimum resale prices and will not sell to purchasers who do not resell at or above these prices. Products listed on Monster's published price sheets are covered under this policy. The retail price column defines the announced minimum consumer resale price.

Sold "As Is"; Warranty to End Users Only

Express limited warranty statements accompany products and apply to end users only. Monster disclaims all implied warranties, including but not limited to infringement, fitness for a particular purpose, and merchantability, with all faults, to any Purchaser that resells products.

Returns

After obtaining a return authorization (RA) number from Monster's Accounts Management Department (AMD), Purchaser may return, shipping prepaid, defective products to Monster for repair or replacement in accordance with the accompanying end-user warranty.

Limitation of Liability

Monster's total liability to Purchaser shall be limited to the greater of (A) the invoice amount for the order most closely related to Purchaser's damages, or (B) U.S.$10,000. Monster shall not be liable for any special, consequential, incidental, or indirect damages, lost profits, costs of procurement of substitute goods, or lost data. These limitations shall apply whether or not Monster has been advised of the possibility of such loss, regardless of any failure of essential purpose of any limited remedy provided herein, and regardless whether claims are based on breach of contract, tort, statute, or any other legal or equitable theory.

Compliance

Purchaser shall (1) comply with all applicable laws, (2) not export, re-export, or otherwise transfer any Monster product except in accordance with U.S. export control laws, and (3) indemnify Monster from any damages and costs caused by Purchaser's failure to comply with applicable laws.

Governing Law; Disputes

These Conditions and any disputes arising out of or in connection with these Conditions (“Disputes”) shall be governed by California laws, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). All Disputes are subject to the exclusive jurisdiction of courts in California, with the sole exception that (1) Purchaser may also be sued for payments at its places of business and any shipment destination, and (2) each party may obtain injunctive relief from any court of competent jurisdiction worldwide. The prevailing party in any Disputes shall be entitled to reimbursement of all legal fees, including reasonable attorneys' fees, from the other party.
