Functional Testing Software
This Additional License Authorizations document (“ALA”) sets forth the applicable License Options and additional specific software license terms that govern the authorized use of the software products specified below, and are part of the applicable agreement (i.e., Micro Focus End User License Agreement; and/or any separate agreement that grants Licensee a license to such products (e.g., Customer Portfolio Terms or other Master Agreement); and/or Quotation) (the “Applicable Agreement”). Capitalized terms used but not defined herein shall have the meanings set forth in the Applicable Agreement. All products below are delivered electronically, unless otherwise agreed, and as such, any inconsistent terms that are stated on a purchase order or any other document issued by Customer, are void.

licenses will be subject to the Non-Production Licensing Guide and the applicable License Option terms and conditions set forth in this ALA.
** Network Virtualization component is non-production Class 1, OpenText™ Functional Testing Lab for Mobile and Web is Class 3.
Definitions
| Term | Definition |
| Application Under Test or AUT | Means a software application being tested by software. |
| Concurrent Access | Means simultaneous use of one Device at any point in time. |
| Concurrent Flow | Means the number of individual, simultaneous flows that can be run at any point in time. Flow represents the bi-directional communication between specified source and target in which a single network condition is applied (source and target can be the local machine, a remote host or a range of hosts). |
| Device | Means an addressable entity, physical or virtual, including but not limited to router, switch, bridge, hub, server, PC, laptops, handheld device or printer that resides within the range defined for interrogation and asset tracking. |
| Instance | Means each implementation of the application installed on a server. |
| LTU | Means License To Use. |
| Mobile Device | Means a Device running an operating system designed for mobile devices such as but not limited to mobile phones, tablet computers and smart phones that typically connect to a network by means of WI-Fi or cellular data. |
| Node Locked Instance | Means an Instance which can only be used with a specific node. |
| Remote Access | Means the act of accessing a computer over the network from an originating location remotely removed from the Site or the location of the computer being accessed or controlled. |
| Robotic Process Automation | Means an application that simulates attended or unattended human actions through the execution of automated tasks. |
| SaaS | Means Software as a Service which is a service which allows access to the software, support and related professional services, as described in an order document, datasheet or a Statement of Work (SOW). |
| Suite | Means two or more software products combined into a single license offering or a single software product which includes two or more licenses. The specific software products included in a Suite are specified in the software specific license terms below. Software products included in a Suite are governed by the individual authorizations and use restrictions associated with each software product, except where specified in the specific Suite software specific license terms below. |
| Term License to Use or Term LTU | Means a subscription to software with a license to use (LTU) which indicates in its license description that the license is valid for a specific period of time such as One Month (1M), One Year (1Y) etc. Term LTU’s are not perpetual licenses. |
| Third Party Location | Means a location leased or owned by the Third Party. |
| Third Party Use | Means as authorized in the Software Specific License Terms, you may permit a Third Party to access and use the software on your behalf for the sole purpose of providing services to you, provided that; (i) If you have a Site License then a Third Party may use the software only at your site; and (ii) for geographically restricted licenses you have purchased the required Area or Global license for use at Third Party’s Location; and (iii) you designate the Third Party as your designated personnel for the purpose of receiving Micro Focus support and maintenance services; and (iv) you are responsible and directly liable to Micro Focus for the use of the software by the Third Party. Third Party may not use the software for their own internal business purposes, nor permit any other third party to access the software; and (v) you shall provide written notice to Micro Focus of the Third Party’s name and the address of Third Party’s Location; and (vi) Upon the termination or expiration of Third Party’s services to you, you shall promptly instruct the Third Party to remove and return all software in its possession to you and you shall promptly notify Micro Focus of such termination or expiration. |
| Transaction | Means a series of distinct actions relevant for monitoring an IT service or process. It is represented and stored in software as a single, unique measuring capability for a stated Key Performance Indicator (KPI). |
| Unlimited | Means without restrictions in terms of number of systems, devices or media, depending on the context. |
| Use | Means to install, store, load, execute and display one copy of the software. |
License Options
The following License Options are the types of licenses available for a given software product as further specified in this ALA.
The applicable License Option for a license shall be as set forth in the Applicable Agreement or Product Order. Those products with only one License Option available shall be governed by such License Option whether or not stated in the Applicable Agreement or Product Order unless otherwise agreed in writing between Licensee and Licensor.
Concurrent or Concurrent User License
Licensed Software provided under this License Option gives Licensee the right to install the Licensed Software on multiple
Devices and simultaneously use the Licensed Software at any one point in time provided that the actual usage of the
Licensed Software does not exceed the number of licenses purchased.
Seat or Seat User License
Licensed Software provided under this License Option gives Licensee the right to install and use the Licensed Software on a single Device.
Site, Area and Global License
- Site License – Licensed Software provided under this License Option gives Licensee the right to use the Licensed Software at an address (e.g., room number, department number, building number, street address, campus etc.) or a group of addresses specified in the Applicable Agreement. Site cannot include multiple addresses or addresses in multiple countries or states. Site licenses cannot be moved to an alternate Site after the original purchase without paying to Micro Focus a geographic relocation fee. If no Site address is explicitly specified in the Applicable Agreement, then the Site address will be the Ship To address specified on the quotation.
- Area License – Licensed Software provided under this License Option gives Licensee the right to used the Licensed Software in a single region, defined as the Americas (North, Central and South America and Mexico) or EMEA (Europe, Middle East and Africa) or JAPAC (Japan, Asia, Pacific Rim and Australia); Area cannot be global or multiple regions. Area is determined where the order for the license is placed, unless the Applicable Supporting Material indicates otherwise.
Area licenses cannot be moved to an alternate Area from where the original order was placed, without paying to Micro
Focus a geographic relocation fee. - Global License – Licensed Software provided under this License Option gives Licensee the right to use the Licensed Software worldwide.
Software Specific License Terms
Software products with software specific license terms are described below. Software products covered by this ALA document (as listed above) and not covered in this section do not have software specific license terms.
Business Process Testing
The following License Options apply: Site Concurrent User, Area Concurrent User or Global Concurrent User.
Remote Access is permitted where users are regularly employed at the Site or Area. Remote Access by users located outside of the Area requires a Global license. This software requires an OpenText™ Application Quality Management Enterprise License for both manual and automated testing. In addition, for automated testing a Functional Testing (legacy) license or an OpenText™ Functional Testing license is required. This software shall be used only in accordance with the Site, Area or Global license that corresponds with the OpenText™ Application Quality Management Enterprise license. Third Party access and use at the Third Party Location is permitted in accordance with the Third Party Use. Third Party Use at the Third Party Location requires an Area or a Global license. If the Third Party Location is outside of the Area licensed by you, then you must obtain a Global license. Micro Focus software licensed for load testing or functional testing purposes may be used only for the testing (load or functional) function originally licensed. Use of the functional testing tools (Business Process Testing) in production where you are utilizing Robotic Process Automation is permitted. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.
Functional Testing (legacy)
The following License Options apply: Seat, Seat User, Site Concurrent User, Area Concurrent User or Global Concurrent User.
Functional Testing is licensed for testing purposes only.
Remote Access is permitted where users are regularly employed at the Site or Area. Remote Access by users located outside of the Area requires a Global license. The AUT and the licensed software must reside at the same Site or Area as applicable.
Third Party access and use at the Third Party Location is permitted in accordance with Third Party Use. Third Party Use at the Third Party Location requires an Area or a Global license. If the Third Party Location is outside of the Area licensed by you, then you must obtain a Global license. Micro Focus software licensed for load testing or functional testing purposes may be used only for the testing (load or functional) function originally licensed. Use of the functional testing tools (Functional Testing (legacy)) in production where you are utilizing Robotic Process Automation is permitted. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.
Quick Test Professional Essentials
The following License Options apply: Seat User or Concurrent User.
Quick Test Professional Essentials is licensed for testing purposes only.
When licensed by Seat User, the following applies: Remote Access, the act of accessing a computer over the network from an originating location remotely removed from the Site location of the computer being accessed or controlled, is only permitted where users are regularly employed at the Site and the AUT and the licensed software must reside at the same Site. Third Party access and use at the Third Party Location is permitted in accordance with Third Party Use. Third Party Use at the Third Party Location requires an Area or a Global license. If the Third Party Location is outside of the Area licensed by you, then you must obtain a Global license. Micro Focus software is licensed for load testing or functional testing purposes only and may be used only for the testing (load or functional) function originally licensed. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.
Service Test
The following License Options apply: Seat, Seat User, Site Concurrent User, Area Concurrent User or Global Concurrent User.
Service Test is licensed for testing purposes only.
When Service Test is licensed by Site Concurrent User, Area Concurrent User or Global Concurrent User the following applies: a) The AUT and licensed software must reside at the same Site or Area as applicable. b) Remote Access is permitted where users are regularly employed at the Site or Area. c) Remote Access by users located outside of the Area requires a Global license. d) Third Party access and use at the Third Party Location is permitted in accordance with Third Party Use. Third Party Use at the Third Party Location requires an Area or a Global license. If the Third Party Location is outside of the Area licensed by you, then you must obtain a Global license. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.
OpenText™ Functional Testing (UFT One, Unified Functional Testing Enterprise Edition), OpenText™ Functional Testing for Developers (UFT Developer, Unified Functional Testing Pro Edition) and UFT Ultimate Edition (Unified Functional Testing Ultimate Edition)
The following License Options apply: Seat User or Concurrent User.
When licensed by Seat User, the following applies: Remote Access is permitted where users are regularly employed at the Site and the AUT and the licensed software must reside at the same Site. UFT Ultimate Edition is licensed by Concurrent User. OpenText™ Functional Testing, OpenText™ Functional Testing for Developers, and UFT Ultimate Edition software is licensed for functional testing purposes only. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.
OpenText™ Functional Testing for Developers licenses grant access to the previous Unified Functional Testing Pro solution, which differs from the OpenText™ Functional Testing solution in many aspects, for example the scripting language, working environment, tools set, ease of use and more.
OpenText™ Functional Testing licenses grant rights to use either OpenText™ Functional Testing for Developers or OpenText™ Functional Testing, so as long as they are not activated simultaneously; the same license can operate both products. This license is equal to the previous Unified Functional Testing license that was sold prior to version 14.00.
UFT Ultimate Edition is a bundle of products that includes everything OpenText™ Functional Testing provides as well as entitlement to one Business Process Testing Global Concurrent User and one limited OpenText™ Functional Testing Lab for Mobile and Web license which provides 1 Concurrent Access for 1 Mobile Device for the functional testing tools (Functional Testing (legacy), Unified Functional Testing, or OpenText™ Functional Testing) only. In order to take advantage of the Business Process Testing license in this bundle, the customer must have an OpenText™ Application Quality Management Enterprise license.
Third Party access and use at the Third Party Location is permitted in accordance with Third Party Use. Third Party Use at the Third Party Location requires a license. Micro Focus software licensed for load testing or functional testing purposes may be used only for the testing (load or functional) function originally licensed. Use of the functional testing tools (OpenText™ Functional Testing, UFT Ultimate Edition, and OpenText™ Functional Testing for Developers) in production where you are utilizing Robotic Process Automation is permitted. Micro Focus is not liable for any consequences and or damages resulting from Use of the software to perform functions for which it is was not originally licensed.

| A. | • Software contains software and associated specifications licensed from third parties that are confidential to, and trade secrets of, such parties. You will not take any action other than to Use it as authorized under the agreement as part of the software products and will not disclose it to third parties. |
| B. | • You shall install and use the software as authorized in the Applicable Agreement only as a complete product and may not use portions of such software on a standalone basis separate from the complete software unless expressly authorized in the Documentation or the Applicable Agreement. |
| C. | • To the extent this restriction is not prohibited under applicable law, you shall not disclose to any third party the results of (i) any performance benchmarks you run on software products themselves, or any portion thereof, or (ii) specific detailed comparisons you make between software products, or any portion thereof, and any of your or third-party product, in each case under (i) and (ii) without the prior written consent of Micro Focus. |
